Our client is a stock listed globally operating company in the energy sector.
They are now looking for an excellent senior lawyer to join the legal department as a
Director Legal - Regulatory & Corporate Affairs (m/f/d)
in Hamburg. You will be reporting directly into the Group GC and will manage a small team.
You will be organising the day-to-day corporate governance support and advice to the Company's corporate bodies, including the management of the existing team supporting these activities. You will be working on Corporate, Finance and M&A matters and rovide legal and strategic support to the General Counsel for advising the supervisory board and the management board in matters concerning corporate and capital markets law and compliance across the group as well as supporting with capital markets communication, financing and/or re-financing transactions, whether debt or equity based, and the management of the Company's shareholding and participations in non-core activities, including investment or divestment transactions, as well as in strategic business development initiatives.
You will also support the General Counsel in devising, designing and setting-up the requisite resource to the management board (board office) - and integrate existing resources - to adapt organisational structures, processes and policies (globally) suited to stream-line decision making processes and ensure compliant documentation.
You will be responsible for a compliance management set-up for specific areas of compliance assigned to Corporate Legal with the remit to design and build a dedicated organisation suited to ensure compliance in respect of, inter alia, capital markets regulations, privacy and data protection, and anti-trust and competition.
You will be an excellent German qualified lawyer with at least ten years' post qualification experience gained in a top level law ifrm or in-house legel department. You will have a proven track record in corporate law and/or anti-trust and competition law and/or compliance.
You will be a strong team leader with good communication and motivational skills.
Excellent English language skills are a must with ideally one other European language, including the ability to negotiate contracts in those language(s)
Strong interpersonal, negotiation, organisation, planning and presentation skills are essential
Willingness to undertake some travel.
